Terms & Conditions
The below terms and conditions were drawn up to help our work-flow and customer relations so that we all end up with a great end product. Please do not hesitate to get in touch regarding anything stated in this document or regarding your project
1) PAYMENT
1.1 Any invoices that are not paid within 30 days of the date of invoice will incur a penalty fee at current UK government and BoE rates.
1.2 If the project’s payment terms are 50/50 no work will commence until the initial 50% is received by Naive Studio. In addition to the agreed estimate, travel costs will be charged @ 45p per mile from SY11 3FG after 50 miles (if applicable)
2) RATES & TIMES
2.1 A full day of editing, filming, or pre-production refers to work carried out by our core team, Any additional members of crew required will be outlined as additional costs and subject to an admin fee or prep time.
2.2 One full day of filming is 8 hours on location.
2.3 A full day of editing refers to 8 hours of work. Out-of-office or fast-track editing is also offered at a tailored rate.
3) CANCELLATION & POSTPONEMENT
3.1 WHOLE PROJECT: If the Client cancels a project after costs and terms are agreed upon, the Client will be subject to a cancellation fee due to loss of work. If the project is postponed, and we’ve allocated production days, the same fee may still apply.
3.2 FILMING: If the Client cancels a filming day/slot, the Client may be subject to pay a cancellation fee of up to 75%. If a shoot is cancelled on the day or we are already on location, we will charge a 90% cancellation fee. All incurred costs & expenses due to cancellation will also be chargeable to the client.
3.3 EDITING: In the event of a project cancellation, a fee for work completed, and expenses already incurred, shall be paid by the Client. The cancellation fee is based on the days submitted, or a percentage based on the time estimate for the entire job. A 100% cancellation fee is due once the project has been finished, whether delivered to the client or not.
3.4 If poor weather means filming is not possible we shall reschedule the shoot, this could be because the weather affects the overall quality of the project or it is not appropriate to film in bad conditions. (The client is not liable for any poor weather cancellations)
4) EXPENSES & EXTRA COSTS
4.1 General expenses incurred by Naive Studio, such as meals, and accommodation will be included and charged in our final invoice.
4.2 Travel mileage is charged at a fixed flat rate of 0.45p per mile, per vehicle.
5) OWNERSHIP & USE OF MATERIALS
5.1 On completion and payment of the project the client assumes ownership & copyright of the final completed video(s). The videos will be able to be used online, internally and externally, worldwide, in perpetuity. If you require the films for broadcast e.g TV or cinema advertising please advise.
5.2 Naive Studio retain the right to use the completed project for the marketing of their own business, the client will be given credit for the usage of the project.
5.3 Any brand or logo animation included in finished projects, is not to be re-used or modified for future films without prior permission.
5.4 Unless a prior agreement has been made, raw footage will not be transferred to the client. This is due to a number of reasons, firstly to ensure that Naive Studio and the client are fairly represented, secondly raw footage has been captured by industry professionals in formats that need to be treated and edited by professional editors to identify the best selection from hours of footage and will need to be edited, colour graded and audio mixed to a high standard using specialist software and by a professional.
6) AMENDMENTS
6.1 Unless specified otherwise, all clients are entitled to two rounds of amendments per video free of charge. Once these amendments have been made the client will be charged at our hourly rate of £75ph
6.2 These changes must be submitted via email, so all parties can view all feedback. If there are major changes to the brief or changes in deliverables, a new estimate will be provided taking all new requests and changes into consideration.
7) DELIVERABLES
7.1 All key deliverables will be agreed upon in the briefing document/estimate prior to the project start.
8) PERMISSIONS & RELEASES
8.1 All individuals to be featured in the final project will need to sign a release form, it is the client’s responsibility to ensure this is in place if they provide individuals for the project e.g staff, and talent. We can help with this element if needed.
8.2 We suggest the above is handled by the client so that all identifiable participants understand their rights and to protect the client against any claims.
8.3 In the event that an individual makes a claim against a video, with or without a release agreement, Naive Studio will not be held responsible for any legal or production costs incurred.
8.4 Event filming is always harder to navigate, but we would advise that all attendees are aware of filming, this could be done via a sign-up email, included in a ‘housekeeping’ presentation, and followed up with clear signage on the day.
9) CONTRACT
9.1 This document has been supplied after costs and a proposal have been supplied, by completing the form below, the client agrees to the above Terms and Conditions on behalf of their department/company.
